These terms and conditions govern the relationship between Opticus Technologies, a company incorporated under the laws of

The Netherlands (hereinafter referred to as "Opticus Technologies", "we", "us" or "our") and its clients (hereinafter referred to as "Client", "you" or "your")

who engage us for data science consultancy services.

Services

Opticus Technologies provides data science consultancy services, including but not limited to data cleansing, data analysis, data visualization,

data modeling, data integration, data & AI strategy, machine learning solutions, AI development, and training

and support (hereinafter referred to as "Services").

Engagement

To engage our Services, you must provide us with a clear and concise description of your requirements, objectives, and constraints. We will then

provide you with a proposal, outlining our understanding of the project, proposed methodology, deliverables, timelines, and fees.

Our engagement with you will commence upon your acceptance of our proposal.

Fees and Payment

Our fees for the Services will be set out in our proposal and agreed upon by both parties. We will invoice you for our fees and expenses, which are due

within 30 days of the invoice date. Late payments may result in the suspension or termination of our Services.

Confidentiality and Data Protection

We will keep all information you provide to us confidential and will not disclose it to third parties, except with your prior written consent or as required

by law. We will also comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR).

Intellectual Property

You retain ownership of your data and intellectual property. We retain ownership of our methodology, tools, and techniques used in providing the

Services. We grant you a non-exclusive, non-transferable, royalty-free license to use our deliverables for your internal business purposes only.

Liability and Indemnification

We will perform the Services with reasonable care and skill, but we cannot guarantee specific results or outcomes.

We will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the provision of the Services.

You will indemnify us against any claims, damages, or losses arising from your use of the deliverables or any breach of these terms and conditions.

Termination

Either party may terminate the engagement at any time, with or without cause, by giving written notice to the other party.

Upon termination, we will deliver to you any completed deliverables and invoices for work completed up to the termination date.

Governing Law and Jurisdiction

These terms and conditions will be governed by and construed in accordance with the laws of The Netherlands.

Any dispute arising from or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the courts of The Netherlands.

Entire Agreement

These terms and conditions constitute the entire agreement between you and Opticus Technologies and supersede all prior negotiations,

understandings, and agreements, whether written or oral. No variation or amendment of these terms and conditions will be valid unless

it is in writing and signed by both parties.
